Super Neighbor Terms of Service

Last updated: 2026-08-26

These Terms of Service govern access to and use of the Super Neighbor website, application and related services operated by Super Neighbor Inc. ("Super Neighbor," "we," "us" or "our").

By creating an account, listing an item, approving a rental request, completing a booking or otherwise using Super Neighbor, you agree to these Terms.

If you do not agree, you may not use the platform.

  1. Definitions

    • Lender means a user who lists an item for rent.
    • Professional Lender means a lender using the platform primarily for business, commercial or professional rental activity, including a user registered with a business account.
    • Renter means a user who requests or rents an item.
    • Listing means an item description and rental offer published by a lender.
    • Rental Agreement means the agreement formed directly between a lender and renter for a confirmed rental.
    • Handover means the pickup or delivery arrangement through which the renter receives the item and later returns it.
    • Platform means the Super Neighbor website, application and related services.
    • User means anyone who accesses or uses the platform.
  2. Intermediary platform role

Super Neighbor operates solely as an independent technology intermediary that helps users list items, arrange rentals, communicate, process payments, confirm exchanges and report issues.

    Super Neighbor:

    • Does not own or supply listed items
    • Does not provide delivery or transportation of rented items
    • Does not become a bailee of rented items
    • Does not physically inspect, test, maintain or repair items
    • Does not supervise the physical use of an item
    • Is not the lender, renter, manufacturer, seller or agent of either user
    • Is not a party to Rental Agreements between users
    • Does not guarantee a user, listing, item, rental, claim or outcome

Listing review, identity verification, exchange confirmations, evidence uploads, payment processing and claim assistance do not make Super Neighbor a party to the Rental Agreement or responsible for a user's performance.

Users independently decide whether to enter into a rental and remain responsible for their own actions and obligations.

  3. Eligibility and accounts

To create an account or complete a rental, you must:

    • Be at least 18 years old
    • Be legally capable of entering into binding agreements
    • Provide accurate and complete information
    • Complete required verification steps
    • Keep your account information and login credentials secure
    • Use the platform only for lawful purposes

You are responsible for activity conducted through your account. You may not allow another person to use your account or impersonate another person.

Super Neighbor may restrict platform features until required verification is completed.

  4. Identity verification

Super Neighbor requires identity verification before a user can send or accept rental requests.

    Verification may include:

    • Government-issued identification
    • A selfie or identity match
    • Phone and email verification
    • Additional information requested by an authorized verification provider

Verification may be performed through providers such as Stripe.

Verification confirms only that specified checks were completed. It does not guarantee a user's identity, conduct, ownership, qualifications or trustworthiness.

  5. Incorporated agreements and policies

The following form part of these Terms:

Safety Tips and How It Works pages provide practical guidance. If guidance conflicts with these Terms or a binding policy, these Terms and the applicable binding policy control.

If documents conflict regarding a rental, the following order applies:

    1. Mandatory applicable law
    2. Accepted transaction-specific details
    3. Rental Agreement
    4. These Terms of Service
    5. Incorporated platform policies
    6. Informational guidance
  6. Listings and lender certification

A lender may list only an item that the lender owns or has all legal rights and permissions required to rent to others.

When publishing a listing, the lender must confirm that:

    • The item is lawful to rent
    • The item is safe, functional and properly maintained
    • The description, photos, condition, price, availability and handover options are accurate
    • Included accessories are clearly identified
    • Known defects, limitations, modifications and risks are disclosed
    • Necessary usage and safety instructions will be provided

The lender must renew this certification after a material change to the item, listing, category, condition, price or accessories.

Super Neighbor may review or remove listings but is not required to detect every error, defect or violation.

  7. Prohibited and restricted items

Users must follow the Posting Policy.

Prohibited items include illegal, stolen, counterfeit, recalled, defective or unsafe items; weapons; hazardous materials; controlled substances; regulated medical devices; motor vehicles; and other items prohibited by law or platform policy.

Compliant e-bikes and electric kick-scooters may be listed where permitted by applicable provincial and municipal rules. Non-compliant, modified, damaged or recalled devices may not be listed.

Lenders and renters are responsible for confirming that an item can be lawfully rented, exchanged and used in the relevant location.

  8. Rental Agreement between users

Each rental is governed by the Rental Agreement entered into directly between the lender and renter.

    The Rental Agreement incorporates:

    • The accepted listing and item description
    • The lender and renter
    • Rental dates and times
    • Price, fees, selected accessories and any agreed delivery fee
    • Pickup or delivery arrangements
    • Cancellation terms
    • Payment and pre-authorization terms
    • Lender and renter responsibilities
    • Claims and evidence requirements
    • Applicable assumption-of-risk, waiver and liability provisions in these Terms

The lender accepts the Rental Agreement when approving the rental request.

The renter accepts the final Rental Agreement when completing payment.

The Rental Agreement becomes effective only after:

    1. The renter submits a rental request
    2. The lender approves the request and accepts the Rental Agreement
    3. The renter accepts the final rental details and completes payment through the platform

Lender approval alone does not complete the rental.

Super Neighbor provides access to the Rental Agreement and records the users' acceptance but acts solely as an intermediary and is not a party to that agreement.

Both users will have access to the accepted rental details and applicable agreement version through their rental details.

  9. Lender responsibilities

    The lender is responsible for:

    • Providing the item and accessories as described
    • Ensuring the item is lawful, safe, clean, functional and properly maintained
    • Disclosing known defects, limitations, modifications and risks
    • Providing necessary usage, handling and safety instructions
    • Making the item available as agreed, by pickup or delivery
    • Communicating through the platform
    • Inspecting the item at handover and return
    • Confirming the return only after receiving and checking the item
    • Reporting claims and providing supporting information within required deadlines
    • Complying with the Lender Responsibilities and Posting Policy

The lender remains responsible for deciding whether to entrust the item to the renter.

  10. Renter responsibilities

    The renter is responsible for:

    • Reviewing the listing and rental terms before paying
    • Inspecting the item before accepting it
    • Refusing an item that appears unsafe or materially different from the listing
    • Using the item lawfully, safely and only for its intended purpose
    • Following lender, manufacturer and safety instructions
    • Keeping the item secure while in the renter's possession
    • Preventing unauthorized use or sub-rental
    • Not modifying, disassembling or repairing the item without permission
    • Reporting damage, loss, theft, malfunction or safety concerns promptly
    • Returning the item on time with all included accessories
    • Returning the item in the condition received, except for ordinary wear
    • Paying verified charges for qualifying damage, loss, theft, non-return, missing accessories or late return
    • Complying with the Renter Responsibilities

The renter is responsible for the conduct of anyone the renter permits to access or use the item.

  11. Handover and return confirmation

Users must inspect the item together at handover and return, whether the handover is a pickup or a delivery. Super Neighbor does not provide delivery or transportation.

The renter should swipe to confirm receipt only after the item has been physically handed over.

At return, the lender should swipe to confirm only after receiving and checking the item.

A user must never confirm an exchange or return that has not occurred.

Exchange confirmations form part of the rental record but do not prove that an item was free from every defect or that no later issue occurred.

  12. Photos, videos and evidence

Users may upload photos or videos through the platform before and after a rental.

Platform uploads are associated with the rental and record the upload time. An upload timestamp does not necessarily prove when or where the content was originally created.

Photos and videos are optional for completing a rental. However, sufficient supporting evidence is required before Super Neighbor will approve a damage reimbursement or capture funds for a disputed amount.

A damage reimbursement will not be approved without sufficient pre- and post-rental evidence unless Super Neighbor accepts equivalent evidence based on the circumstances.

A claim may be denied if evidence is missing, late, altered, inconsistent or insufficient.

Uploading evidence does not guarantee claim approval or reimbursement.

  13. Prices, fees and taxes

Lenders set rental prices, including daily, 3-day and 7-day rates where offered.

If a listing offers delivery, the fee is agreed through platform messaging before the lender accepts the request, including whether delivery applies at the start, return, or both. Super Neighbor does not list a delivery price. $0 is allowed. Any agreed delivery fee is a fixed amount for that rental, paid through the platform with the rental, and is subject to the same service fees. Off-platform delivery payments are prohibited.

    Listings must clearly identify:

    • The rental price
    • Included accessories
    • Whether handover is pickup, delivery, or either option

    Super Neighbor charges:

    • A 20% renter service fee of the rental amount, with a minimum fee of CAD $2
    • A 10% lender service fee

Applicable fees and taxes are displayed before checkout.

Users are responsible for taxes, registrations and reporting obligations arising from their platform activity. Super Neighbor does not provide tax advice.

  14. Payments

Payments are processed through third-party providers such as Stripe.

By completing payment, the renter authorizes:

    • The rental payment, including any agreed delivery fee, which is charged at checkout
    • Applicable service fees and taxes
    • A security hold (pre-authorization) of CAD $100 to CAD $400, in the amount shown on the listing and frozen when the rental request is created
    • Verified additional charges permitted by these Terms and the Rental Agreement

Super Neighbor does not store complete payment-card numbers.

A payment method may be stored by the payment provider for the rental, permitted additional charges and future transactions authorized by the user.

Platform balances are not bank accounts, deposits or savings products and do not earn interest.

  15. Security hold (pre-authorization) and additional charges

When completing payment, the renter authorizes a temporary security hold on the selected payment method as security for obligations connected with the rental. The hold amount is set by the lender on the listing, between CAD $100 and CAD $400 (platform default CAD $300). The amount shown when the rental request is created is frozen for that rental and cannot later be changed for that rental.

Super Neighbor places this pre-authorization shortly before handover (pickup or delivery). If the rental starts the same day or within about 24 hours of payment, Super Neighbor may place it when payment is completed.

The pre-authorization may be used for verified amounts relating to:

    • Qualifying damage
    • Loss or theft
    • Non-return
    • Missing parts or accessories
    • Late return
    • Other charges specifically permitted by the Rental Agreement

The pre-authorization is not automatically a final charge. Super Neighbor may capture all or part of it after reviewing the rental records, available evidence and submissions from the users.

The renter authorizes Super Neighbor and its payment provider to capture verified amounts from the security hold and, separately, additional verified charges up to CAD $400.

If no amount is payable, the pre-authorization will be released according to the payment provider's processing timelines.

If the authorization expires, fails or is insufficient, the renter remains responsible for the verified amount and may be required to provide another payment method.

The security hold does not limit the renter's total liability. If a verified loss exceeds the hold amount, Super Neighbor may capture additional verified charges up to CAD $400. The renter remains responsible for any remaining amount.

Super Neighbor may provide the renter with notice and an opportunity to submit relevant information before capturing a disputed amount, except where immediate action is reasonably necessary to prevent fraud or additional loss.

  16. Lender payouts

Rental earnings are credited to the lender's platform balance approximately 24 hours after the rental end date, once return is confirmed, subject to:

    • Payment clearance
    • Open claims or disputes
    • Chargebacks or suspected fraud
    • Account or payout verification
    • Applicable legal or payment-provider requirements

Available balances may be withdrawn to an approved payout method. The minimum withdrawal amount is CAD $10. Withdrawal fee: 0.25% + CAD $0.25 per withdrawal. The lender pays this fee; it is deducted from the requested amount before the payout is sent. Platform balances cannot be used to pay for rentals.

Super Neighbor may delay or reverse a payout where reasonably necessary to address a refund, chargeback, claim, error, fraud concern or legal requirement.

  17. Renter cancellation policy

A renter may withdraw an unpaid rental request without charge.

For a confirmed and paid rental:

    • Cancellation 48 hours or more before the rental begins (including exactly 48 hours) qualifies for a refund of amounts paid through the platform minus Stripe processing fees of 2.9% + CAD $0.30
    • Cancellation less than 48 hours before the rental begins is generally non-refundable

A renter may be eligible for a full or partial refund when:

    • The lender cancels or does not attend the agreed pickup or delivery
    • The item is unavailable
    • The item is materially different from the listing
    • The item appears unsafe or non-functional
    • Applicable law requires a refund
    • Super Neighbor grants a documented exception when cancellation is less than 48 hours before start: a full refund of amounts paid, or a refund minus Stripe processing fees (2.9% + CAD $0.30)

The renter must report an item-related reason through the platform and provide available supporting evidence.

  18. Lender cancellation policy

A lender must cancel through the platform as soon as the lender knows the rental cannot be completed.

If a lender cancels a confirmed rental:

    • The renter receives a full refund of amounts paid through the platform
    • Super Neighbor absorbs Stripe processing fees
    • The lender does not receive a payout
    • Repeated or avoidable cancellations may affect listing visibility or account standing

A lender may refuse or end an exchange when reasonably necessary because of safety concerns, suspected fraud, unlawful conduct or a material change to the agreed rental.

The lender should report the circumstances through the platform and provide available supporting information.

  19. No-shows, rescheduling and early returns

Users should communicate delays through platform messaging.

No-shows are covered by a separate no-show policy, not the renter cancellation rule above. A user may be considered a no-show after failing to attend or respond within the applicable exchange period communicated through the platform.

Changes to material rental terms, including dates, price, item or accessories, may require renewed approval and acceptance by both users.

After the item has been handed over, a renter's decision to return it early does not automatically create a refund. Exceptions may apply for verified safety, functionality or listing-accuracy issues.

Super Neighbor may make reasonable exceptions for emergencies, service interruptions or circumstances beyond a user's control.

  20. Damage, loss, theft and non-return

From the time the renter receives the item until the lender confirms its return, the renter is responsible for its custody, safekeeping and permitted use.

The renter is responsible for qualifying damage, loss, theft, non-return or missing accessories occurring during that period, including when caused by:

    • Misuse, negligence or failure to follow instructions
    • Improper transport, handling, setup or storage
    • Leaving the item unsecured or unattended
    • Unauthorized modification, disassembly or repair
    • Use by another person whom the renter allowed to access the item
    • Failure to return the item and accessories as agreed

The renter must reimburse the lender for verified recoverable amounts, subject to these Terms and applicable law.

The renter is not responsible for:

    • Documented pre-existing damage
    • Ordinary wear from permitted use
    • Defects caused solely by the lender's failure to maintain the item
    • Damage caused solely by inaccurate or unsafe lender instructions

Depending on the circumstances, recoverable amounts may include:

    • Reasonable repair costs
    • Replacement value, considering age and condition
    • Missing parts or accessories
    • Reasonable inspection, shipping or recovery costs
    • Permitted late-return charges

Consequential losses, speculative lost income and unsupported amounts are not automatically recoverable.

The renter's responsibility is not eliminated because:

    • The pre-authorization cannot be captured
    • The renter's payment method is declined
    • The amount exceeds CAD $400
    • Super Neighbor does not approve a platform claim
    • The lender has or may have separate insurance

A lender may pursue lawful remedies directly against the renter for an unpaid verified loss.

  21. Recovery and reimbursement rights

The lender appoints Super Neighbor as a limited payment-collection agent for amounts payable under the Rental Agreement.

Super Neighbor may collect verified amounts from the renter and remit them to the lender, subject to platform and payment-provider rules.

This limited appointment does not make Super Neighbor a party to the Rental Agreement or responsible for the renter's payment obligations.

If Super Neighbor voluntarily reimburses or pays a lender for an amount for which the renter is responsible, the renter must reimburse Super Neighbor for that amount.

To the extent of a payment made by Super Neighbor, the lender assigns to Super Neighbor the corresponding recovery rights against the renter and agrees to provide reasonable cooperation.

The renter may also be responsible for reasonable recovery or collection costs where permitted by law.

Neither the lender nor Super Neighbor may recover more than the verified loss. Any insurance, pre-authorization capture, renter payment or other recovery must be taken into account to prevent double recovery.

  22. Claims process

Damage, loss, theft, non-return and safety concerns must be reported through Report a rental issue in the rental details, or through Need Help? in Help & Support.

Claims must generally be submitted within 24 hours after the scheduled rental end or confirmed return, whichever applies. Issues discovered during a rental should be reported promptly.

A claimant may be required to provide:

    • Pre- and post-rental photos or videos
    • Platform messages
    • Proof of ownership and value
    • Serial numbers or identifying information
    • Repair estimates or receipts
    • A description of what occurred
    • Police-report information where applicable
    • Other reasonably requested information

For suspected theft, the lender must file a police report and provide the report number when requested.

For non-return, the lender must first report the item overdue and attempt to contact the renter through platform messaging. If the item remains unreturned after the applicable notice period, Super Neighbor may require a police report before approving a theft or total-loss claim.

If an item is stolen while in the renter's possession, the renter must report it immediately through the platform and file a police report if requested.

Users must cooperate with reasonable claim-review and recovery requests.

A disputed item should not be repaired, altered, discarded or replaced until the review is completed or permission is provided.

Submitting a claim or police report does not guarantee approval or reimbursement.

  23. Claim decisions and user disputes

Super Neighbor may review platform records, evidence and user submissions to:

    • Facilitate communication
    • Determine whether a platform charge or reimbursement should be approved
    • Decide whether platform remedies or account actions apply

These decisions apply only to Super Neighbor's payment, claim and platform processes. They do not finally determine the legal rights or liability of the lender and renter.

Users remain free to pursue lawful remedies directly against one another.

A platform claim decision does not eliminate a renter's responsibility for verified damage, loss, theft, non-return or other amounts payable under the Rental Agreement.

  24. Insurance and reimbursement

Super Neighbor does not currently provide renters or lenders with insurance.

The security hold, claim-review process and payment tools are not insurance and do not guarantee that a lender will recover every loss.

Super Neighbor is not required to reimburse a user from its own funds unless Super Neighbor expressly agrees to do so in writing.

The absence or denial of a platform reimbursement does not eliminate a renter's responsibility to the lender for verified damage, loss, theft, non-return or other amounts payable under the Rental Agreement.

Users are responsible for determining whether they require personal, property, liability or commercial insurance and whether their existing policies cover rental activity.

    Professional and business lenders

Professional Lenders must obtain and maintain all legally required and commercially appropriate insurance for their rental activity, listed items and related liability.

Professional Lenders must not rely on Super Neighbor, the security hold or the platform claim process as a substitute for commercial insurance.

When a loss may be covered by the lender's commercial insurance, the lender must make a claim under that insurance before requesting any discretionary reimbursement from Super Neighbor.

The lender must disclose applicable insurance payments and cooperate with reasonable requests for insurance information.

Any insurance recovery reduces the amount otherwise recoverable for the same loss. A lender may not recover more than the verified loss.

    Future programs

Super Neighbor may introduce an insurance or protection program in the future.

Any future program will be governed by separate terms and will apply only after it is formally launched. Nothing in these Terms promises that a future program will be introduced or that a particular rental or user will be eligible.

  25. User conduct

    Users must not:

    • Conduct platform-initiated rentals or payments outside Super Neighbor
    • Provide false, misleading or incomplete information
    • List or use prohibited items
    • Misuse rented items
    • Submit false claims or altered evidence
    • Confirm an exchange or return that did not occur
    • Manipulate reviews, payments, disputes or chargebacks
    • Harass, threaten or discriminate against another user
    • Misuse another user's personal information
    • Violate applicable laws or platform policies

Violations may result in listing removal, cancellation, payment restrictions, account suspension or termination.

  26. Assumption of risk

Renting, exchanging, transporting, storing and using items may involve risks, including:

    • Item defects or malfunction
    • Improper setup, handling or use
    • Personal injury or death
    • Property damage
    • Theft, loss or non-return
    • Interactions with other users or third parties

Renters voluntarily assume the risks associated with selecting, accepting, possessing and using rented items.

Lenders voluntarily assume the risks associated with listing and entrusting their items to renters.

Each user is responsible for assessing whether an item, rental, exchange location and other user are appropriate for them.

  27. Waiver and release

Important: This section affects your legal rights.

To the fullest extent permitted by law, each user releases and agrees not to hold Super Neighbor, its affiliates, directors, officers, employees, contractors and service providers liable for claims arising from:

    • A Rental Agreement between users
    • The condition, legality, suitability or use of an item
    • An exchange, return or interaction between users
    • A user's acts, omissions, representations or breach
    • Damage, loss, theft, non-return, injury or property damage connected with a rental
    • Reliance on a listing, review, identity status or other user-provided information

This release includes claims based on ordinary negligence by a released party to the extent such claims may lawfully be released.

It does not exclude liability that cannot lawfully be waived, including liability for fraud, wilful misconduct or other liability that applicable law prohibits Super Neighbor from excluding.

This release does not release a lender or renter from their direct obligations to one another under the Rental Agreement.

  28. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless Super Neighbor and its affiliates, directors, officers, employees, contractors and service providers from third-party claims, losses, liabilities, damages, penalties and reasonable legal expenses arising from:

    • Your listings, items, instructions or representations
    • Your rental activity or use of an item
    • Personal injury, death or property damage caused by you or your item
    • Damage, loss, theft or non-return
    • Your uploaded content or infringement of third-party rights
    • Your violation of these Terms, platform policies or applicable law
    • Taxes, licences, permits or regulatory obligations for which you are responsible

Super Neighbor may control the defence and settlement of an indemnified claim. You agree to provide reasonable cooperation.

This indemnity does not apply to the extent a claim was caused by Super Neighbor's fraud, wilful misconduct or liability that cannot legally be excluded.

  29. Disclaimers

The platform is provided on an "as available" basis.

To the fullest extent permitted by law, Super Neighbor does not warrant or guarantee:

    • The identity, character, qualifications or conduct of a user
    • Ownership, accuracy or legality of a listing
    • The condition, safety, quality, merchantability or fitness of an item
    • Completion or performance of a rental
    • Availability of the platform without interruption or error
    • Approval, collection or payment of a claim
    • Recovery of an item or financial loss

Identity verification, listing review, ratings and platform tools should not be treated as endorsements or guarantees.

  30. Limitation of liability

To the fullest extent permitted by law, Super Neighbor is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost opportunity, loss of use or loss of data.

If Super Neighbor is found liable, its aggregate liability arising from or relating to the platform or these Terms will not exceed the greater of:

    • CAD $100
    • The service fees paid by the affected user to Super Neighbor during the 12 months before the event giving rise to the claim

These limitations apply regardless of the legal theory asserted.

This limitation applies only to Super Neighbor's liability. It does not limit payment, reimbursement, indemnity or other obligations between users.

Nothing in these Terms excludes or limits a right or liability that cannot lawfully be excluded or limited.

  31. Privacy

Personal information is handled as described in the Privacy Policy.

Users may use another user's personal information only as necessary to arrange and complete a rental.

Users must not publish, misuse or retain another user's personal information for unrelated purposes.

  32. User content

Users retain ownership of content they submit, including listings, photos, videos, messages and reviews.

By submitting content, you grant Super Neighbor a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and use it as reasonably necessary to:

    • Operate and improve the platform
    • Display listings and reviews
    • Facilitate rentals
    • Investigate claims and policy violations
    • Promote the platform, where consistent with your settings and applicable law

You represent that you have the rights required to submit the content and that it does not violate another person's rights.

  33. Platform intellectual property

The platform, software, branding, design and Super Neighbor-created content belong to Super Neighbor or its licensors.

Users may not copy, reverse engineer, distribute, exploit or create derivative works from platform content except where permitted by law or written authorization.

  34. Suspension and termination

Super Neighbor may restrict, suspend or terminate an account, listing, rental or platform feature when reasonably necessary to:

    • Enforce these Terms or platform policies
    • Protect users or the platform
    • Investigate fraud, safety concerns or unlawful activity
    • Respond to payment risk, chargebacks or legal requirements

Termination does not eliminate obligations arising before termination, including payment, return, claim, indemnity and dispute obligations.

  35. Changes to these Terms

Super Neighbor may update these Terms to reflect changes to the platform, law or business practices.

The updated Terms will display a revised "Last updated" date.

We will provide additional notice and request renewed acceptance for material changes where required.

The version accepted for a confirmed rental will continue to govern that rental unless applicable law or an expressly accepted amendment requires otherwise.

  36. Governing law and disputes

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada.

Subject to mandatory consumer rights, proceedings involving Super Neighbor must be brought before a court of competent jurisdiction in Ontario.

Nothing in these Terms prevents users from making a complaint to a regulator or exercising rights that cannot lawfully be waived.

  37. General terms

    Electronic acceptance

Checking an agreement box, approving a rental request, completing payment or using another electronic acceptance method has the same effect as signing an agreement.

Super Neighbor may retain records of electronic acceptance, including the user, date, time, agreement version and related transaction.

    Entire agreement

These Terms, incorporated policies and accepted transaction details form the complete agreement between the user and Super Neighbor concerning the platform.

The Rental Agreement and accepted transaction details form the agreement between the lender and renter for a rental.

    Severability

If part of these Terms is found unenforceable, the remaining provisions remain effective.

    No waiver

A delay in enforcing a provision does not waive the right to enforce it later.

    Assignment

Users may not assign their account or rights under these Terms without Super Neighbor's consent.

Super Neighbor may assign these Terms as part of a financing, reorganization, merger or sale of its business.

    No partnership or agency

Except for Super Neighbor's limited payment-collection role, nothing in these Terms creates an employment, partnership, joint venture, fiduciary or agency relationship between Super Neighbor and a user.

    Events beyond reasonable control

Super Neighbor is not responsible for delay or failure caused by events beyond its reasonable control, including service interruptions, provider failures, natural events, government actions or network outages.

    Survival

Sections that by their nature should continue—including payment, recovery, claims, indemnification, releases, liability limits, intellectual property and disputes—survive termination.
